1. Agreement to Terms

By accessing the websites, software architectures, APIs, or engineering consulting services provided by Nojiro Technologies (“we,” “our,” or “us”), you agree to be bound by these Terms of Use and all applicable commercial laws. If you do not agree with any of these terms, you are prohibited from utilizing our software systems and web assets.

2. Scope of Engineering Engagements

Nojiro Technologies operates as an engineering firm specializing in bespoke database architecture, CRM development, WhatsApp communication pipelines, and Meta Cloud API integrations. All project deliverables, milestones, and production schedules are governed by mutual Statements of Work (SOW) executed between authorized client representatives and Nojiro Technologies.

3. Intellectual Property & Code Ownership

Unlike off-the-shelf SaaS software with recurring per-seat fees, Nojiro Technologies delivers full proprietary intellectual property ownership to clients upon full payment of contractual project milestones:

• Proprietary Schemas & Controllers: Clients retain 100% ownership of custom database schemas, API controllers, and frontend interface repositories built specifically for their organization.
• Core Framework Libraries: Pre-existing modular utility libraries and architectural patterns developed by Nojiro Technologies remain our foundational intellectual property and are licensed to the client on a perpetual, royalty-free, non-exclusive commercial basis.

4. Meta Cloud API & Third-Party Platform Compliance

Clients utilizing WhatsApp Business automation and Meta Cloud API integrations acknowledge that their messaging volume, template approvals, and communication practices must comply with official Meta Commercial and Business Policies. Nojiro Technologies enforces strict compliance protocols and disclaims liability for account restrictions resulting from client-directed spam or unauthorized cold messaging.

5. Retainers & SLA Maintenance

Ongoing infrastructure monitoring, server scaling, webhook maintenance, and feature enhancements are delivered through structured monthly support retainers. Service Level Agreements (SLAs) regarding incident response times are detailed explicitly within the client retainer agreement.

6. Limitation of Liability

In no event shall Nojiro Technologies or its engineers be liable for any indirect, incidental, consequential, or punitive damages arising from server downtime, third-party API deprecations, or business interruptions, beyond the total engineering fees paid by the client under the specific Statement of Work in the preceding three months.
